3D cinema technology company RealD Inc. said Monday it agreed to be acquired by private equity firm Rizvi Traverse Management LLC in a transaction valued at $551 million, including net debt. RealD shareholders will receive $11 in cash for each share of the company’s common stock. That represents a premium of approximately 19% on the company’s trading price on October 1, 2014, when activist investor Starboard Value made a hostile bid to acquire Beverly Hills, Calif.-based RealD. Last month, The Deal included RealD on a list of activist situations to watch. Starboard Value’s Jeff Smith, a 10% shareholder of RealD, has been for months on the verge of nominating a slate of dissident directors to RealD’s board, people familiar with the situation told The Deal’s Ron Orol.
