FF EAI Robotics Ecosystem Inc. said in a completion announcement dated October 26, 2026 that it has completed its acquisition of Faraday Future Intelligent Electric Inc.’s robotics business, with the closing taking effect on October 23, 2026. Following the transaction, FFR will operate the robotics business and continue trading on Nasdaq, and Faraday Future will continue trading on Nasdaq as well.
The company said it expects October 2026 robot sales and shipments to exceed 300 units, setting what it described as a new monthly record and bringing cumulative shipments to more than 1,100 units, while continuing to deliver robots at a positive unit gross margin.
Closing Terms and Share Consideration
The completion was reported in a current report on Form 8-K filed with the U.S. Securities and Exchange Commission on October 26, 2026, listing October 23, 2026 as the date of the earliest event reported. According to the filing, the closing was effected under a transaction agreement dated October 12, 2026 among FFR, Smart Technology Holdings Ltd. (the Cayman Seller), Faraday Future, FF EAI Robotics Inc. and FFR Acquisition Sub LLC, with FF EAI Robotics Inc. merging into the acquisition subsidiary, which survived as a wholly owned direct subsidiary of FFR.
At closing, FFR issued the Cayman Seller 1,315,313 shares of common stock and 65,475 shares of Series C Non-Voting Convertible Preferred Stock, which are convertible into an aggregate of 65,474,624 common shares. Each outstanding option to purchase FF EAI Robotics Inc. common stock was assumed by FFR and converted into an option to acquire FFR common stock using an exchange ratio of 0.89. FFR received all of the robotics unit’s issued and outstanding capital stock and no cash proceeds, paid no underwriting discounts or commissions, and issued the consideration securities under the Securities Act’s private-placement exemption for negotiated transactions.
The preferred shares carry no voting rights except as required by Delaware law, and conversion is prohibited until FFR obtains the requisite stockholder approval, a 20-calendar-day information-statement period expires and any required amendment to its certificate of incorporation becomes effective. FFR filed the certificate of designation creating the preferred stock with the Delaware Secretary of State on October 23, 2026.
Faraday Future and the Cayman Seller delivered an 18-month lock-up covering all of the consideration securities, and FFR, Faraday Future, Yueting Jia and Jiawei Wang entered into a support agreement containing voting and transfer restrictions tied to the stockholder proposals.
Technology License, Transition Services, and Leadership
At closing, the parties executed a common technology license agreement granting FF AI-Robotics Inc., an FFR subsidiary, an exclusive, perpetual, irrevocable, worldwide, royalty-free and fully paid-up license to specified technology used in both the robotics business and other Faraday Future businesses, limited to a specified field of use. A separate intellectual property assignment agreement transferred intellectual property rights used exclusively in the robotics business to FF AI-Robotics.
A transition services agreement effective October 1, 2026 has Faraday Future provide services to the robotics unit across EAI Device, EAI Brain and the open developer platform, Data Factory and Industry Solutions, with an initial 12-month term and fees equal to Faraday Future’s actual direct documented costs without markup.
FFR appointed YT Jia as chief executive officer, Jerry Wang as executive chairman and Chen Shi as lead independent director. Jia continues to serve as chief executive officer of Faraday Future, and Wang continues as its global executive chairman. The 8-K states that Wang ceased to serve as FFR’s chief executive officer at the closing and discloses that Wang is Jia’s nephew. Jia, 52, founded Faraday Future and served as its global co-chief executive from April 2025 until his appointment as sole global chief executive in May 2026. His prior advisor agreement with FFR was terminated immediately before the closing.
Jia’s employment agreement provides an annual base salary of $500,000, a target annual bonus of $500,000 and eligibility for annual equity awards with a target grant-date value of $1.5 million in restricted stock units and $1.5 million in performance stock units. Jia voluntarily agreed to defer any adjustment to his compensation until the company and its subsidiaries have cumulatively sold and delivered 2,000 robotics units. Wang’s annual base salary of $300,000, target bonus of $300,000 and annual equity-award target of $1.5 million remain unchanged until the same milestone.
First Full-Year Guidance and Robotics Platform
FFR provided full-year 2026 guidance for the first time, stating that the robotics business expects 2026 robot sales and shipments of approximately 2,000 robots while continuing to generate positive gross margin. The company attributed the guidance to management’s confidence in its near-term operational execution and long-term growth prospects.
“The completion of this transaction marks an important milestone in establishing a dedicated public company focused on Embodied AI robotics,” Jia said, adding that FFR’s focus is on building a scalable robotics business that brings Physical AI robotic technologies into everyday commercial and industrial applications.
FFR describes its offering as a Four-Core Full-Stack AI ecosystem covering the full robotics lifecycle, consisting of EAI Brain and Developer Platform, EAI Devices, Industry Productivity Solutions and EAI Data Factory, and spanning research and development, manufacturing, commercialization and deployment. The company also operates RoboShare, a robot-sharing and services platform.
Deal Background and Next Steps
FFR and Faraday Future signed the definitive agreements on October 12, 2026 at an agreed valuation of approximately $200 million for the robotics business and approximately $60 million for FFR on a fully diluted basis, with FFR to issue shares at $2.246 per share, described at the time as an approximately 50% premium to its $1.50 closing price on the signing date. The earlier announcement said Faraday Future was expected to hold approximately 65.7% of FFR on an as-converted, fully diluted basis following the acquisition and a related private placement of up to $10 million. FFR, formerly AIxCrypto Holdings, Inc., took its current name in September 2026.
The 8-K states that financial statements of the acquired business and pro forma financial information will be filed by amendment no later than 71 calendar days after the report’s required filing date, and that the company furnished a press release and an investor presentation, both dated October 26, 2026, as exhibits. Separately, FFR scheduled its listing ceremony and investor day for October 26, 2026, and said in an October 25, 2026 announcement posted to FF’s press room that the full event video would be available at 5:00 p.m. Eastern that day.
