With proxy season coming to a close and corporate annual meeting dates on the horizon, there are several high-profile corporate conflicts that could come down to a shareholder vote, according to The Deal senior editor Ron Orol. Orol says activist Nelson Peltz’s proxy fight at DuPont (DD), the largest cap company to face a proxy battle this year, may come down to a vote as both sides seem to be digging in their heels. A March revised settlement offer made by Peltz, of Trian Fund Management, for two dissident seats on DuPont’s board and two additional directors on a planned DuPont spinoff, was rejected. DuPont said it was willing to put a new director on its board other than Peltz, but that offer was also rejected.
